Terms of Service
Effective Date: 3 June 2025
These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Local Brew LLC ("Tap", "we", "our"), governing your access to and use of Tap’s websites, mobile/desktop applications, and any related services (collectively, the "Services"). By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree, do not access or use the Services.
1. Eligibility & Accounts
- You must be at least 18 years old and capable of entering into a contract in your jurisdiction.
- You agree to provide accurate, complete information during sign‑up and keep it updated.
- You are responsible for safeguarding your login credentials. You are liable for all activity under your account unless Tap has been notified of unauthorized use.
2. The Services
The Services help you schedule meetings, manage tasks, and capture meeting notes through AI‑powered features. Tap may update or modify the Services at any time, including adding or removing features. We may introduce new paid plans, adjust pricing, or discontinue the Services with reasonable notice.
3. Subscriptions, Fees & Trials
- Certain features require a paid subscription ("Paid Plan"). Prices, billing intervals, and included features are described in the checkout flow or order form.
- Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle. You may cancel renewal any time in the account settings.
- Free trials convert to a Paid Plan at the posted price unless canceled before the trial ends.
- All fees are non‑refundable except where required by law.
4. Acceptable Use
You agree not to:
- Use the Services for unlawful or fraudulent purposes.
- Interfere with, disrupt, or degrade the performance or security of the Services.
- Reverse‑engineer, decompile, or attempt to access source code or non‑public interfaces.
- Harvest or scrape data in bulk without Tap’s written consent.
- Violate privacy, intellectual‑property, or other rights of Tap or third parties.
- Use the Services to develop or train competing AI models.
Tap may suspend or terminate your account for violations.
5. User Content & Permissions
- "User Content" means data, text, files, calendar events, or other materials you submit to the Services.
- You retain all ownership of User Content.
- You grant Tap a worldwide, non‑exclusive license to host, process, and display User Content solely to provide and improve the Services.
- You represent that you have the necessary rights to grant this license.
6. Intellectual Property
- Tap retains all rights, title, and interest in the Services, including all software, logos, and trademarks.
- Except for the limited license to use the Services while these Terms remain in effect, no rights are granted to you under any Tap IP.
7. Feedback
If you send suggestions or feedback ("Feedback"), you grant Tap a perpetual, irrevocable, royalty‑free license to use, modify, and incorporate the Feedback without restriction or obligation to you.
8. Third‑Party Services & Integrations
The Services may integrate with Google, Microsoft 365, Stripe, and other third‑party services. Your use of those services is governed by their own terms, and Tap is not responsible for third‑party services.
9. Service Availability & Support
- Tap aims for 99.5% monthly uptime but does not guarantee uninterrupted Service.
- Planned maintenance or emergencies may cause downtime.
- Support is provided via email at james@localbrew.ai during U.S. business hours (9 am–6 pm ET, Monday–Friday).
10. Termination
- You may stop using the Services and delete your account at any time.
- Tap may suspend or terminate the Services or your account for cause (e.g., breach of these Terms) or for convenience with 30 days’ notice.
- Upon termination, Sections 4–14 survive.
11. Disclaimers
- The Services are provided “AS IS” and “AS AVAILABLE.” Tap disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and uninterrupted availability.
- Tap does not warrant that AI‑generated schedules or suggestions will meet your requirements or be error‑free.
12. Limitation of Liability
To the fullest extent permitted by law:
- Tap’s aggregate liability arising out of or related to the Services will not exceed the greater of USD $100 or the amount you paid Tap in the 12 months prior to the event giving rise to the claim.
- Tap is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the maximum extent permitted.
13. Indemnification
You will indemnify and hold harmless Tap and its officers, directors, and employees from any claim, demand, or damages arising from (a) your misuse of the Services, (b) your breach of these Terms, or (c) User Content you provide.
14. Governing Law & Dispute Resolution
- These Terms are governed by the laws of the State of Ohio, USA (without regard to conflict‑of‑law principles).
- Informal resolution: Contact us first to resolve any dispute at james@localbrew.ai.
- Binding arbitration: If we cannot resolve a dispute informally, either party may require binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will take place in Columbus, Ohio, and each party bears its own costs.
- No class actions. Disputes must be brought individually, not as a plaintiff or class member in any class or representative proceeding.
15. Changes to These Terms
We may update these Terms. If changes are material, we will provide at least 15 days’ notice via email or in‑app. Continued use after changes become effective constitutes acceptance.
16. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
17. Entire Agreement
These Terms constitute the entire agreement between you and Tap and supersede all prior agreements related to the Services.
